1. Acceptance of Terms

By creating an account or using binnnd ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service.

2. Description of Service

binnnd is a storage management application that allows users to:

Create and manage storage bins and items
Organize content using categories and tags
Generate and scan QR codes for bins
Create and join groups for collaborative storage management
Upload and manage images of stored items
Search across all stored content

3. User Accounts

3.1 Account Creation

You must provide accurate and complete information when creating an account
You must be at least 13 years old to use the Service
You are responsible for maintaining the security of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service, illegal activities, or any other reason we deem necessary. You may also delete your account at any time through your account settings.

4. User Content and Conduct

4.1 Your Content

You retain ownership of all content you create or upload to the Service, including bins, items, images, and descriptions ("User Content"). By uploading User Content, you grant us a license to:

Store, display, and process your User Content to provide the Service
Share your User Content with other members of your groups
Create backups and derivatives for operational purposes

4.2 Prohibited Content

You may not upload or share content that:

Is illegal, harmful, threatening, abusive, or harassing
Infringes on intellectual property rights of others
Contains viruses, malware, or other malicious code
Contains pornographic, obscene, or offensive material
Violates the privacy rights of others
Is spam or unsolicited promotional material

4.3 Prohibited Conduct

You agree not to:

Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service or servers
Use automated systems (bots, scrapers) without permission
Reverse engineer or attempt to extract the source code
Impersonate others or misrepresent your affiliation
Use the Service for any illegal purpose

5. Groups and Collaboration

5.1 Group Ownership

The creator of a group is the group administrator and has full control over the group, including the ability to add/remove members, delete the group, and manage all content within the group.

5.2 Group Membership

By joining a group, you agree to share your User Content within that group with all group members
Group administrators can remove you from a group at any time
You can leave a group at any time
Content you create within a group may remain in the group after you leave, subject to the group administrator's discretion

5.3 Data Isolation

Content within a group is isolated from other groups. Only members of a specific group can access that group's content.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, code, features, and functionality, is owned by binnnd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.

6.2 Your Intellectual Property

You represent and warrant that you own or have the necessary rights to all User Content you upload, and that your User Content does not infringe the intellectual property rights of any third party.

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted access
The Service may be temporarily unavailable for maintenance or updates
We reserve the right to modify, suspend, or discontinue any part of the Service at any time
We may update these Terms of Service from time to time
Continued use of the Service after changes constitutes acceptance of the updated terms

8. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of important User Content. We are not liable for any data loss or corruption that may occur. We recommend regularly exporting your data.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINNND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the past 12 months, or $100 if you have not paid us anything.

11. Indemnification

You agree to indemnify, defend, and hold harmless binnnd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the Service, your User Content, or your violation of these Terms of Service.

12. Dispute Resolution

12.1 Informal Resolution

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally.

12.2 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.

12.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and binnnd regarding the Service and supersede all prior agreements.
